Spole\u010dnosti \u010del\u00ed st\u00e1le komplexn\u011bj\u0161\u00edm pr\u00e1vn\u00edm p\u0159edpis\u016fm a nejistot\u00e1m, kter\u00e9 vy\u017eaduj\u00ed v\u00edce ne\u017e pouhou znalost pr\u00e1va \u2013 kl\u00ed\u010dem je proaktivn\u00ed p\u0159\u00edstup a metodologie, kter\u00e1 kombinuje pr\u00e1vn\u00ed odbornost s krizov\u00fdm a strategick\u00fdm \u0159\u00edzen\u00edm.<\/strong><\/p>\n\n\n\n<p><strong>Doba \u010dten\u00ed<\/strong>: 5 minut<\/p>\n\n\n\n<p>Nen\u00ed pochyb o tom, \u017ee \u0159\u00edzen\u00ed rizik z\u016fst\u00e1v\u00e1 j\u00e1drem pr\u00e1ce intern\u00edch pr\u00e1vn\u00edk\u016f. Mana\u017ee\u0159i si uv\u011bdomuj\u00ed, \u017ee \u201epr\u00e1vo je sice nep\u0159\u00edjemn\u00e9, ale nezbytn\u00e9 omezen\u00ed jejich \u010dinnost\u00ed\u201d[1]. Mapov\u00e1n\u00ed a \u0159\u00edzen\u00ed rizik&nbsp; je proto prioritou a jedn\u00edm z hlavn\u00edch d\u016fvod\u016f, pro\u010d spole\u010dnost\u00ed vyhled\u00e1vaj\u00ed pr\u00e1vn\u00ed slu\u017eby \u2013 a\u0165 u\u017e intern\u00ed nebo extern\u00ed[2].<\/p>\n\n\n\n<p>Mohlo by se zd\u00e1t, \u017ee mana\u017ee\u0159i jako vysoce vzd\u011blan\u00ed vedouc\u00ed pracovn\u00edci zvykl\u00ed zab\u00fdvat se nejr\u016fzn\u011bj\u0161\u00edmi ekonomick\u00fdmi, politick\u00fdmi nebo strategick\u00fdmi probl\u00e9my, by m\u011bli b\u00fdt shopni \u0159\u00eddit pr\u00e1vn\u00ed rizika sami. Nicm\u00e9n\u011b, rysy modern\u00edch pr\u00e1vn\u00edch rizik ukazuj\u00ed, pro\u010d samotn\u00e1 mana\u017eersk\u00e1 intuice a obratnost nesta\u010d\u00ed k vypo\u0159\u00e1d\u00e1n\u00ed se s pr\u00e1vn\u00edmi v\u00fdzvami. Spole\u010dnosti toti\u017e \u010del\u00ed st\u00e1le v\u011bt\u0161\u00edmu mno\u017estv\u00e9 neust\u00e1le se m\u011bn\u00edc\u00edch a \u010dasto obt\u00ed\u017en\u011b interpretovateln\u00fdch p\u0159edpis\u016f[3].<\/p>\n\n\n\n<p>Odborn\u00edci identifikuj\u00ed t\u0159i hlavn\u00ed typy nejistot, kter\u00e9 tyto p\u0159edpisy vytv\u00e1\u0159ej\u00ed a kter\u00e9 mohou ohrozit hodnotu spole\u010dnosti[4]&nbsp;:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Nejasnosti v interpretaci pr\u00e1vn\u00edch norem. <\/strong>Prvn\u00ed typ souvis\u00ed samotn\u00e9 pochopen\u00ed pr\u00e1vn\u00ed normy, jej\u00ed aplikac\u00ed na konkr\u00e9tn\u00ed p\u0159\u00edpady, vymezen\u00ed jej\u00edho rozsahu a zp\u016fsob, jak\u00fdm ji budou soudci interpretovat a aplikovat.<\/li>\n<\/ul>\n\n\n\n<p><em>Vezm\u011bme si nap\u0159\u00edklad evropsk\u00e9 sm\u011brnice: krom\u011b toho, \u017ee jsou \u010dasto velmi technick\u00e9, vytv\u00e1\u0159ej\u00ed obdob\u00ed naprost\u00e9 nejistoty, pokud je\u0161t\u011b nebyly za\u010dlen\u011bny do vnotrost\u00e1tn\u00edho pr\u00e1vn\u00edho \u0159\u00e1du. V roce 2022 se nap\u0159\u00edklad \u010desk\u00e9 spole\u010dnosti mohly pt\u00e1t, zda maj\u00ed za\u010d\u00edt dodr\u017eovat sm\u011brnici o whistleblowerech, nebo po\u010dkat na p\u0159\u00edpadnou odli\u0161nou n\u00e1rodn\u00ed implementaci[5].<\/em><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Extern\u00ed rizika. <\/strong>Druh\u00fd typ nejistoty pramen\u00ed z vn\u011bj\u0161\u00ed expozice spole\u010dnosti mo\u017en\u00fdm rizik\u016fm: jak\u00e9 typy ud\u00e1lost\u00ed mohou ohrozit jej\u00ed \u010dinnost? Spadaj\u00ed tyto ud\u00e1losti do rozsahu dan\u00e9 regulace?\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Intern\u00ed rizika. <\/strong>Spole\u010dnosti \u010del\u00ed intern\u00edm nejistot\u00e1m ohledn\u011b toho, zda jejich \u010dlenov\u00e9 nebo partne\u0159i poru\u0161\u00ed normu.<\/li>\n<\/ul>\n\n\n\n<p>Pouh\u00e1 znalost pr\u00e1va nesta\u010d\u00ed k rozpt\u00fdlen\u00ed pomysln\u00e9 pr\u00e1vn\u00ed mlhy. Intern\u00ed pr\u00e1vn\u00edci mus\u00ed rozum\u011bt praktick\u00fdm aspekt\u016fm pr\u00e1va[6], sledovat neust\u00e1le se m\u011bn\u00edc\u00ed v\u00fdklady a interpretace a aktivn\u011b hledat \u0159e\u0161en\u00ed[7]. P\u0159irovn\u00e1n\u00edm by se dali ozna\u010dit za maj\u00e1k, kter\u00fd pror\u00e1\u017e\u00ed pr\u00e1vn\u00ed mlhu a ve dne i v noci osv\u011btluje cestu, aby spole\u010dnost bezpe\u010dn\u011b obe\u0161la neust\u00e1le se m\u011bn\u00edc\u00ed \u00fatesy pr\u00e1vn\u00edch hrozeb[8]. Proto je nezbytn\u00e9 m\u00edt po ruce odborn\u00edka na pr\u00e1vo[9].<\/p>\n\n\n\n<p>Krom\u011b toho ale intern\u00ed pr\u00e1vn\u00edci nejsou jen odborn\u00edci na pr\u00e1vo. Jejich p\u0159idan\u00e1 hodnota spo\u010d\u00edv\u00e1 ve specifick\u00e9ch p\u0159\u00edstupu k rizik. \u201eJsem intern\u00ed pr\u00e1vn\u00edk. \u0158e\u0161\u00edm probl\u00e9my,\u201d ne\u0159ekl \u017e\u00e1dn\u00fd pr\u00e1vn\u00ed poradce, i kdy\u017e v\u011bt\u0161ina z nich pou\u017e\u00edv\u00e1 metody, kter\u00e9 se nemaj\u00ed za co styd\u011bt ve srovn\u00e1n\u00ed s panem Wolfem z Tarantinov\u00fdch film\u016f. V p\u0159\u00edpad\u011b krizov\u00e9ho \u0159\u00edzen\u00ed tento proces zahrnuje t\u0159i kroky&nbsp;:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Zmapov\u00e1n\u00ed st\u00e1vaj\u00edc\u00edch hrozeb a p\u0159\u00edle\u017eitost\u00ed<\/strong> \u2013 zapojen\u00ed zam\u011bstnanc\u016f v\u0161ech \u00farovn\u00ed, od vedouc\u00edch pracovn\u00edk\u016f a\u017e po \u0159adov\u00e9 zam\u011bstnance[10].<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Vytvo\u0159en\u00ed postup\u016f<\/strong> \u2013\u00a0 maximalizace p\u0159\u00edle\u017eitost\u00ed a minimalize rizika.<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Zpracov\u00e1n\u00ed ak\u010dn\u00edho pl\u00e1nu<\/strong> \u2013 prvn\u00ed prioritou je zam\u011b\u0159it se na postupy a zraniteln\u00e1 m\u00edsta, kter\u00e1 p\u0159edstavuj\u00ed nejv\u011bt\u0161\u00ed riziko, a okam\u017eit\u011b je \u0159e\u0161it; druhou prioritou je ur\u010dit nejkrat\u0161\u00ed mo\u017en\u00fd \u010das na realizaci t\u011bchto opat\u0159en\u00ed&#8220;[11]. Stru\u010dn\u011b \u0159e\u010deno: Myslet rychle, jednat rychle.<\/li>\n<\/ul>\n\n\n\n<p><em>Zaj\u00edmav\u00fdm p\u0159\u00edkladem kritick\u00e9ho \u0159\u00edzen\u00ed rizik je p\u0159\u00edpad spole\u010dnosti Odwalla Inc., v\u00fdrobce d\u017eus\u016f, kter\u00fd v roce 1996 \u010delil krizi kontaminace. Nejprve st\u00e1hla produkty z trhu a zah\u00e1jila kampa\u0148 v oblasti ve\u0159ejn\u00fdch vztah\u016f (prvn\u00ed priorita). N\u00e1sledn\u011b spolupracovala se st\u00e1tn\u00ed zdravotn\u00ed agenturou na v\u00fdvoji nov\u00e9 pasteriza\u010dn\u00ed techniky, kter\u00e1 by zabr\u00e1nila opakov\u00e1n\u00ed probl\u00e9mu (druh\u00e1 priorita) [12].<\/em><\/p>\n\n\n\n<p>Krizov\u00e1 intervence nen\u00ed podstatou \u0159\u00edzen\u00ed rizik. Naopak, intern\u00ed pr\u00e1vn\u00edci se zam\u011b\u0159uj\u00ed na proaktivn\u00ed strategie, kter\u00e9 rizik\u016fm p\u0159edch\u00e1zej\u00ed. Nejlep\u0161\u00ed prax\u00ed je zaveden\u00ed komplexn\u00edho programu prevence, kter\u00fd zahrnuje&nbsp;:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Monitorov\u00e1n\u00ed pr\u00e1vn\u00edho prost\u0159ed\u00ed<\/strong> \u2013 pravideln\u00e9 sledov\u00e1n\u00ed legislativn\u00edch zm\u011bn a jejich dopad\u016f na \u010dinnost spole\u010dnosti.<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Vyhodnocov\u00e1n\u00ed pr\u00e1vn\u00edch rizik<\/strong> \u2013 systematick\u00e1 anal\u00fdza a identifikace potenci\u00e1ln\u00edch pr\u00e1vn\u00edch hrozeb a jejich mo\u017en\u00fdch dopad\u016f.<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Zvy\u0161ov\u00e1n\u00ed pov\u011bdom\u00ed o regulac\u00edch<\/strong> \u2013 vzd\u011bl\u00e1v\u00e1n\u00ed zam\u011bstnanc\u016f nap\u0159\u00ed\u010d odd\u011blen\u00edmi[13].<\/li>\n<\/ul>\n\n\n\n<p><em>Proaktivn\u00ed identifikace rizik m\u016f\u017ee prob\u00edhat i na mikro\u00farovni, nap\u0159\u00edklad p\u0159i navrhov\u00e1n\u00ed obchodn\u00edch smluv. Podle Kristy Russel, z\u00e1stupkyn\u011b gener\u00e1ln\u00edho pr\u00e1vn\u00edho z\u00e1stupce Airbus OneWeb Satellites, navrhov\u00e1n\u00ed obchodn\u00ed smlouvy vy\u017eaduje zohledn\u011bn\u00ed v\u0161ech mo\u017en\u00fdch sc\u00e9n\u00e1\u0159\u016f a d\u016fsledk\u016f, jak by se mohla dolo\u017eka uplatnit, a to i nad r\u00e1mec \u00fazce definovan\u00e9 oblasti poru\u0161en\u00ed smlouvy[14].<\/em><\/p>\n\n\n\n<p>Intern\u00ed pr\u00e1vn\u00edci nejsou jen odborn\u00edky na pr\u00e1vo \u2013 jejich role zahrnuje aktivn\u00ed \u0159\u00edzen\u00ed a prevenci rizik, d\u00edky \u010demu\u017e jsou nepostradatelnou sou\u010d\u00e1st\u00ed modern\u00edho podnik\u00e1n\u00ed. Kombinace pr\u00e1vn\u00ed odbornosti, krizov\u00e9ho \u0159\u00edzen\u00ed a strategick\u00e9ho p\u0159\u00edstupu \u010din\u00ed z intern\u00edch pr\u00e1vn\u00edk\u016f nepostradateln\u00e9 partnery firemn\u00edho veden\u00ed. S jejich pomoc\u00ed se spole\u010dnosti dok\u00e1\u017eou l\u00e9pe p\u0159izp\u016fsobit st\u00e1le n\u00e1ro\u010dn\u011bj\u0161\u00edmu pr\u00e1vn\u00edmu prost\u0159ed\u00ed a z\u00edskat konkuren\u010dn\u00ed v\u00fdhodu.<\/p>\n\n\n\n<p>Poskytnut\u00ed intern\u00edm pr\u00e1vn\u00edk\u016fm prost\u0159edky k pln\u011bn\u00ed jejich rol\u00ed bude vy\u017eadovat ur\u010dit\u00e9 organiza\u010dn\u00ed \u00fapravy, o kter\u00fdch bude pojedn\u00e1no pozd\u011bji. V n\u00e1sleduj\u00edc\u00edm \u010dl\u00e1nku se zam\u011b\u0159\u00edme na druhou kl\u00ed\u010dovou roli intern\u00edch pr\u00e1vn\u00edk\u016f: jejich schopnost b\u00fdt plnohodnotn\u00fdmi obchodn\u00edmi strat\u00e9gy.<\/p>\n\n\n\n<p>[1] See R.C.
