St\u00e1le \u010dast\u011bji se st\u00e1vaj\u00ed strategick\u00fdmi partnery veden\u00ed spole\u010dnosti, jejich\u017e \u00fakolem je navrhovat \u0159e\u0161en\u00ed na m\u00edru, p\u0159edch\u00e1zet probl\u00e9m\u016fm a p\u0159isp\u00edvat k dosa\u017een\u00ed obchodn\u00edch c\u00edl\u016f.<\/strong><\/p>\n\n\n\n<p><strong>Doba \u010dten\u00ed: <\/strong>6 minut<\/p>\n\n\n\n<p>B\u00fdt intern\u00edm pr\u00e1vn\u00edkem m\u016f\u017ee b\u00fdt \u201evelmi osam\u011blou prac\u00ed\u201c [1]. Ne proto, \u017ee by pracovali sami, ale sp\u00ed\u0161e proto, \u017ee veden\u00ed spole\u010dnosti \u010dasto nech\u00e1pe, pro\u010d by m\u011blo \u017e\u00e1dat o n\u00e1zor pr\u00e1vn\u00edho poradce. V\u017edy\u0165, nen\u00ed snad pravdou, \u017ee v tom lep\u0161\u00edm p\u0159\u00edpad\u011b \u201edohody uzav\u00edraj\u00ed obchodn\u00edci, kte\u0159\u00ed se pot\u00e9 pouze obracej\u00ed na pr\u00e1vn\u00edky, aby je sepsali\u201c [2]? Tento zp\u016fsob my\u0161len\u00ed je na\u0161t\u011bst\u00ed v modern\u00edm podnik\u00e1n\u00ed ji\u017e p\u0159e\u017eit\u00fd. Sou\u010dasn\u00fd v\u00fdvoj sm\u011brem k je\u0161t\u011b v\u011bt\u0161\u00ed integraci pr\u00e1vn\u00edk\u016f do veden\u00ed spole\u010dnosti je zn\u00e1mkou toho, \u017ee spole\u010dnosti rozpoznaly jejich hodnotu jako strategick\u00fdch partner\u016f[3]. Nechme to vysv\u011btlit p\u0159\u00edmo intern\u00ed pr\u00e1vn\u00edky[4].<\/p>\n\n\n\n<p>\u201e<em>Moje role na t\u011bchto sch\u016fzk\u00e1ch nen\u00ed vysv\u011btlovat pr\u00e1vo. M\u00fdm \u00fakolem je soust\u0159edit se na na\u0161e strategick\u00e9 c\u00edle, kl\u00e1st ot\u00e1zky z \u0161ir\u0161\u00ed perspektivy a b\u00fdt \u0159e\u0161itelem probl\u00e9m\u016f<\/em>,\u201c \u0159\u00edk\u00e1 Alan Tse, hlavn\u00ed pr\u00e1vn\u00ed z\u00e1stupce a firemn\u00ed tajemn\u00edk spole\u010dnosti Jones Lang La Salle, glob\u00e1ln\u00ed spole\u010dnosti, kter\u00e1 poskytuje realitn\u00ed slu\u017eby ve v\u00edce ne\u017e 80 zem\u00edch.&nbsp;<\/p>\n\n\n\n<p>\u201e<em>M\u00e1 pr\u00e1ce vy\u017eaduje, abych rozum\u011bla strategii a p\u0159isp\u00edvala k jej\u00ed \u00fasp\u011b\u0161n\u00e9 realizaci<\/em>,\u201c vysv\u011btluje Joane Caruso, hlavn\u00ed pr\u00e1vn\u00ed a administrativn\u00ed \u0159editelka spole\u010dnosti Jacobs Engineering Group, glob\u00e1ln\u00ed firmy zam\u011b\u0159en\u00e9 na design, in\u017een\u00fdrstv\u00ed a technologick\u00e1 \u0159e\u0161en\u00ed.&nbsp;<\/p>\n\n\n\n<p>Oba tyto n\u00e1zory zd\u016fraz\u0148uj\u00ed skute\u010dnost, \u017ee intern\u00ed pr\u00e1vn\u00edk mus\u00ed rozum\u011bt strategii spole\u010dnosti, aby mohl vyb\u00edrat z r\u016fzn\u00fdch pr\u00e1vn\u00edch taktik[5]. Od modern\u00edch intern\u00edch pr\u00e1vn\u00edk\u016f se o\u010dek\u00e1v\u00e1, \u017ee budou navrhovat pr\u00e1vn\u00ed \u0159e\u0161en\u00ed \u0161it\u00e1 na m\u00edru pot\u0159eb\u00e1m spole\u010dnosti[6]. Pr\u00e1vn\u00ed \u0159e\u0161en\u00ed se mohou v\u00fdrazn\u011b li\u0161it v z\u00e1vislosti na tom, zda spole\u010dnost zvol\u00ed vertik\u00e1ln\u00ed strategii, zam\u011b\u0159enou na p\u0159izp\u016fsoben\u00ed nebo zm\u00edr\u0148ov\u00e1n\u00ed regula\u010dn\u00edho prost\u0159ed\u00ed, \u010di horizont\u00e1ln\u00ed strategii, kter\u00e1 se soust\u0159ed\u00ed na oslabov\u00e1n\u00ed pozice obchodn\u00edch konkurent\u016f. Doch\u00e1z\u00ed tak redefinov\u00e1n\u00ed role intern\u00edch pr\u00e1vn\u00edk\u016f, kte\u0159\u00ed jsou nejen technick\u00fdmi specialisty, ale i strategick\u00fdmi partnery p\u0159i vytv\u00e1\u0159en\u00ed hodnoty pro klienty [7].<\/p>\n\n\n\n<p>Zaj\u00edmav\u00fd pohled na horizont\u00e1ln\u00ed pr\u00e1vn\u00ed strategii nab\u00edz\u00ed Profesor C. Roquilly na p\u0159\u00edkladu spole\u010dnosti Apple[8]. Kdy\u017e Apple \u010delil riziku spojen\u00fdm s existenc\u00ed mezin\u00e1rodn\u00edho trhu s neofici\u00e1ln\u011b odblokovan\u00fdmi iPhony, zavedl jasnou smluvn\u00ed politiku exkluzivn\u00ed distribuce. Tento krok umo\u017enil spole\u010dnosti \u017ealovat paraleln\u00ed prodejce za nekalou sout\u011b\u017e.<\/p>\n\n\n\n<p><em>\u201eP\u0159edstavenstvo ode m\u011b o\u010dek\u00e1v\u00e1, \u017ee poskytnu proaktivn\u00ed rady t\u00fdkaj\u00edc\u00ed se spole\u010dnosti, odv\u011btv\u00ed a konkuren\u010dn\u00edho prost\u0159ed\u00ed,\u201c<\/em> uv\u00e1d\u00ed Kodwo Ghartey-Tagoe, v\u00fdkonn\u00fd viceprezident a hlavn\u00ed pr\u00e1vn\u00ed z\u00e1stupce spole\u010dnosti Duke Energy.<\/p>\n\n\n\n<p>Intern\u00ed pr\u00e1vn\u00edci, kte\u0159\u00ed p\u016fsob\u00ed jako business strat\u00e9gov\u00e9, \u010dasto zauj\u00edmaj\u00ed proaktivn\u00ed postoj k \u0159\u00edzen\u00ed rizik[9]. Jejich c\u00edlem nen\u00ed pouze vynucovat pln\u011bn\u00ed smluv, ale navrhovat je tak, aby p\u0159edch\u00e1zely probl\u00e9m\u016fm; stejn\u011b tak se sna\u017e\u00ed soudn\u00edm spor\u016fm sp\u00ed\u0161e zabr\u00e1nit ne\u017e je \u0159e\u0161it [10].&nbsp;<\/p>\n\n\n\n<p>P\u0159\u00edklad efektivn\u00ed pr\u00e1vn\u00ed strategie navr\u017een\u00e9 pr\u00e1vn\u00edmi poradci poskytuje spole\u010dnost McNeil Consumer Products. P\u0159esto\u017ee nenesla odpov\u011bdnost za \u00famrt\u00ed n\u011bkolika spot\u0159ebitel\u016f, p\u0159edv\u00eddala, \u017ee tato ud\u00e1lost by mohla po\u0161kodit jejich ve\u0159ejn\u00fd obraz. Zastavila proto inzerci l\u00e9ku, kter\u00fd byl s t\u011bmito \u00famrt\u00edmi spojen, a st\u00e1hla produkt z cel\u00e9ho trhu. Paralern\u011b vytvo\u0159ila pl\u00e1n komunikace s ve\u0159ejnost\u00ed, v n\u011bm\u017e deklarovala \u201ebezpe\u010dnost p\u0159ed ziskem.\u201c Tento krok v\u00fdrazn\u011b pos\u00edlil d\u016fv\u011bru v\u011b\u0159ejnosti a uk\u00e1zal se jako \u00fasp\u011b\u0161n\u00fd[11].<\/p>\n\n\n\n<p>Celkov\u011b je z\u0159ejm\u00e9, \u017ee pr\u00e1vn\u00ed strategie je jen \u201eroz\u0161\u00ed\u0159en\u00edm nebo pokra\u010dov\u00e1n\u00edm ekonomick\u00e9 strategie v pr\u00e1vn\u00ed form\u011b\u201c [12]. Nen\u00ed spravedliv\u00e9 nad\u00e1le ozna\u010dovat pr\u00e1vn\u00ed t\u00fdm jako \u201eodd\u011blen\u00ed brzd\u00edc\u00ed obchod\u201c, ale sp\u00ed\u0161e za kl\u00ed\u010dov\u00e9 partnery veden\u00ed spole\u010dnosti, jejich\u017e obchodn\u011b orientovan\u00fd p\u0159\u00edstup k pr\u00e1vn\u00edm ot\u00e1zk\u00e1m slou\u017e\u00ed jako \u201eodd\u011blen\u00ed, kter\u00e9 \u0159\u00edk\u00e1 ano\u201c [13].<\/p>\n\n\n\n<p>[1] E.N.
