Tento \u010dl\u00e1nek odhaluje, jak intern\u00ed pr\u00e1vn\u00edci nejen sni\u017euj\u00ed n\u00e1klady, ale pom\u00e1haj\u00ed firm\u00e1m r\u016fst a z\u00edskat konkuren\u010dn\u00ed v\u00fdhodu.<\/strong><\/p>\n\n\n\n<p><strong>P\u0159edpokl\u00e1dan\u00e1 doba \u010dten\u00ed: <\/strong>6 minut<\/p>\n\n\n\n<p>Intern\u00ed pr\u00e1vn\u00edci nejsou jen odborn\u00edky na pr\u00e1vo, ale hraj\u00ed z\u00e1sadn\u00ed roli jako mana\u017ee\u0159i rizik a obchodn\u00ed strat\u00e9gov\u00e9. P\u0159esto m\u016f\u017ee b\u00fdt pro n\u011bkter\u00e9 vedouc\u00ed pracovn\u00edky st\u00e1le obt\u00ed\u017en\u00e9 zbavit se p\u0159edstavy, \u017ee pr\u00e1vn\u00ed slu\u017eby jsou jen ot\u00e1zkou n\u00e1klad\u016f a dodr\u017eov\u00e1n\u00ed p\u0159edpis\u016f[1]. Tento pohled je v\u0161ak zjednodu\u0161uj\u00edc\u00ed. Na\u0161\u00edm c\u00edlem je zm\u011bnit tento zp\u016fsob uva\u017eov\u00e1n\u00ed. Intern\u00ed pr\u00e1vn\u00edci p\u0159in\u00e1\u0161ej\u00ed z\u00e1sadn\u00ed p\u0159idanou hodnotu, kterou lze nejen vn\u00edmat, ale i m\u011b\u0159it. Jak\u00e9 p\u0159\u00ednosy tedy skute\u010dn\u011b nab\u00edzej\u00ed?<\/p>\n\n\n\n<p>Jednou z hlavn\u00edch obav je, \u017ee n\u00e1klady na pr\u00e1vn\u00ed slu\u017ebu v\u00fdrazn\u011b zat\u00ed\u017e\u00ed rozpo\u010det spole\u010dnosti[2]. Data v\u0161ak hovo\u0159\u00ed jasn\u011b&nbsp;: p\u0159\u00ednosy pr\u00e1vn\u00edho t\u00fdmu daleko p\u0159esahuj\u00ed n\u00e1klady na mzdy. Francouzsk\u00e1 studie z roku 2021 uk\u00e1zala, \u017ee u vzorku t\u00e9m\u011b\u0159 dvou set spole\u010dnost\u00ed p\u0159edstavovaly celkov\u00e9 pr\u00e1vn\u00ed v\u00fddaje m\u00e9n\u011b ne\u017e 0,2 % ro\u010dn\u00edho obratu. Jin\u00fdmi slovy, deset pr\u00e1vn\u00edch expert\u016f dok\u00e1\u017ee zvl\u00e1dnout pr\u00e1vn\u00ed agendu firmy s obratem ve v\u00fd\u0161i jedn\u00e9 miliardy[3].&nbsp;<\/p>\n\n\n\n<p>Ameri\u010dt\u00ed odborn\u00edci m\u011b\u0159ili tuto &#8222;tvorbu hodnoty&#8220; zkoum\u00e1n\u00edm, jak jmenov\u00e1n\u00ed intern\u00edho pr\u00e1vn\u00edka do vrcholov\u00e9ho managementu ovliv\u0148uje hodnocen\u00ed \u00fav\u011brov\u00e9ho rizika firmy. Zjistili, \u017ee spole\u010dnosti s intern\u00edm pr\u00e1vn\u00edkem ve vrcholov\u00e9m managementu dosahuj\u00ed n\u00e1r\u016fstu hodnoty a\u017e o 9,5 %\u201c[4]. Podobn\u00e9 studie nav\u00edc uk\u00e1zaly, \u017ee takov\u00e9 rozhodnut\u00ed vede k \u201e\u010dast\u011bj\u0161\u00edm a p\u0159esn\u011bj\u0161\u00edm progn\u00f3z\u00e1m zisk\u016f\u201c[5] a k \u201evy\u0161\u0161\u00ed tr\u017en\u00ed hodnot\u011b akci\u00ed\u201c[6].<\/p>\n\n\n\n<p>Tvorba hodnoty intern\u00edho pr\u00e1vn\u00edho odd\u011blen\u00ed je \u00fazce spojena s ob\u011bma kl\u00ed\u010dov\u00fdmi rolemi, kter\u00e9 jsme p\u0159edstavili d\u0159\u00edve&nbsp;: mana\u017eer\u016f rizik a strat\u00e9g\u016f organizace.&nbsp;<\/p>\n\n\n\n<p>Jako mana\u017eer rizik intern\u00ed pr\u00e1vn\u00edk p\u0159edv\u00edd\u00e1 a p\u0159edch\u00e1z\u00ed necht\u011bn\u00fdm n\u00e1klad\u016fm. Ve v\u011bt\u0161in\u011b p\u0159\u00edpad\u016f jsou n\u00e1klady na z\u00edsk\u00e1n\u00ed spr\u00e1vn\u00e9ho pr\u00e1vn\u00edho poradenstv\u00ed \u201ezanedbateln\u00e9 ve srovn\u00e1n\u00ed s cenou, kterou by st\u00e1lo napravov\u00e1n\u00ed \u0161kod zp\u016fsoben\u00fdch t\u00edm, \u017ee nebylo z\u00edsk\u00e1no pr\u00e1vn\u00ed poradenstv\u00ed\u201c[7]. Bird a Orozco uv\u00e1d\u011bj\u00ed zaj\u00edmav\u00fd p\u0159\u00edklad obchodn\u00edho domu, kter\u017e \u010delil n\u011bkolika \u017ealob\u00e1m kv\u016fli zran\u011bn\u00ed na eskal\u00e1torech. Pr\u00e1vn\u00ed t\u00fdm zjistil, \u017ee k incident\u016fm doch\u00e1z\u00ed hlavn\u011b tehdy, kdy\u017e jsou eskal\u00e1tory um\u00edst\u011bny vedle parf\u00e9mov\u00fdch pult\u016f, proto\u017ee rodi\u010de, kte\u0159\u00ed zkou\u0161eli parf\u00e9my, ztratili p\u0159ehled o sv\u00fdch d\u011btech. P\u0159esunut\u00ed parf\u00e9mov\u00e9ho pultu umo\u017enilo spole\u010dnosti sn\u00ed\u017eit po\u010det nehod a t\u00edm se vyhnout n\u00e1klad\u016fm na soudn\u00ed spory[8].&nbsp;&nbsp;<\/p>\n\n\n\n<p>Proaktivn\u00ed p\u0159\u00edstup k \u0159\u00edzen\u00ed rizik nejen sni\u017euje n\u00e1klady, ale nav\u00edc odhaluje obchodn\u00ed p\u0159\u00edle\u017eitosti. Siedel a Haapio uv\u00e1d\u011bj\u00ed p\u0159\u00edklad spole\u010dnosti vyr\u00e1b\u011bj\u00edc\u00ed f\u00e9ny, kter\u00e1 p\u0159i identifikaci pr\u00e1vn\u00edch rizik spojen\u00fdch se sv\u00fdm produktem zjistila, \u017ee jej\u00ed produkty jsou pou\u017e\u00edv\u00e1ny k r\u016fzn\u00fdm \u00fa\u010del\u016fm, co\u017e uk\u00e1zalo, \u017ee existuje trh pro jin\u00e9 v\u00fdrobky vyd\u00e1vaj\u00edc\u00ed hork\u00fd vzduch[9].<\/p>\n\n\n\n<p>Jako obchodn\u00ed strat\u00e9g intern\u00ed pr\u00e1vn\u00edk p\u0159in\u00e1\u0161\u00ed p\u0159idanou hodnotu zejm\u00e9na v procesu uzav\u00edr\u00e1n\u00ed obchod\u016f. Intern\u00ed pr\u00e1vn\u00edci b\u00fdvaj\u00ed pr\u00e1vem ozna\u010dov\u00e1ni za \u201ein\u017een\u00fdry transak\u010dn\u00edch n\u00e1klad\u016f\u201c. Na rozd\u00edl od stereotypn\u00edho vn\u00edm\u00e1n\u00ed, \u017ee pr\u00e1vn\u00edci obchody komplikuj\u00ed, naopak p\u0159isp\u00edvaj\u00ed k jejich hlad\u0161\u00edmu a efektivn\u011bj\u0161\u00edmu uzav\u00edr\u00e1n\u00ed. Dbaj\u00ed na to, aby dohody odpov\u00eddaly po\u017eadavk\u016fm obou stran i regula\u010dn\u00edmu r\u00e1mci, a minimalizuj\u00ed transak\u010dn\u00ed n\u00e1klady[10]. Jak trefn\u011b poznamenal profesor Hwang: Intern\u00ed pr\u00e1vn\u00edci nejen \u201epom\u00e1haj\u00ed sv\u00fdm klient\u016fm z\u00edskat v\u011bt\u0161\u00ed kus z kol\u00e1\u010de obchodn\u00ed dohody, ale na prvn\u00edm m\u00edst\u011b tak\u00e9 tento kol\u00e1\u010d pom\u00e1haj\u00ed v\u016fbec p\u0159in\u00e9st na st\u016fl a z\u00e1zra\u010dn\u011b jej zv\u011bt\u0161uj\u00ed pro v\u0161echny\u201c[11].<\/p>\n\n\n\n<p>Intern\u00ed pr\u00e1vn\u00edci nehraj\u00ed pouze roli p\u0159i sni\u017eov\u00e1n\u00ed n\u00e1klad\u016f; jejich p\u016fsoben\u00ed m\u016f\u017ee b\u00fdt kl\u00ed\u010dov\u00fdm faktorem p\u0159i z\u00edsk\u00e1n\u00ed konkuren\u010dn\u00ed v\u00fdhody prost\u0159ednictv\u00edm tzv. &#8222;pr\u016flomov\u00fdch strategi\u00ed&#8220;. Jako p\u0159\u00edkald lze uv\u00e9st spole\u010dnost Ryanair, kter\u00e1 vyu\u017eila \u017ealoby jako komunika\u010dn\u00ed n\u00e1stroj, nebo francouzskou spole\u010dnost Concurrence, kter\u00e1 vyvinula tlak na Francouzsk\u00fd \u00fa\u0159ad pro ochranu hospod\u00e1\u0159sk\u00e9 sout\u011b\u017ee, aby zm\u011bnila strukturu elektronick\u00e9ho trhu[12]. Je\u0161t\u011b pokro\u010dilej\u0161\u00ed p\u0159\u00edstup uk\u00e1zala spole\u010dnost Qualcomm, kter\u00e1 nejen vytvo\u0159ila pr\u016fmyslov\u00fd standard v oblasti bezdr\u00e1tov\u00fdch technologi\u00ed, ale tak\u00e9 p\u0159esv\u011bd\u010dila kl\u00ed\u010dov\u00e9 partnery k jeho p\u0159ijet\u00ed a z\u00e1rove\u0148 si udr\u017eela pr\u00e1va du\u0161evn\u00edho vlastnictv\u00ed na tento standard d\u00edky propracovan\u00e9mu licen\u010dn\u00edmu modelu[13].<\/p>\n\n\n\n<p>Praktick\u00e9 zku\u0161enosti jasn\u011b ukazuj\u00ed, \u017ee intern\u00ed pr\u00e1vn\u00edci nejsou pouhou n\u00e1kladovou polo\u017ekou, ale kl\u00ed\u010dov\u00fdm p\u0159\u00ednosem pro modern\u00ed podnik\u00e1n\u00ed. Proz\u00edrav\u00fd podnikatel\u00e9 si uv\u011bdomuj\u00ed, \u017ee n\u00e1klady na jejich slu\u017eby jsou zanedbateln\u00e9 ve srovn\u00e1n\u00ed s hodnotou, kterou vytv\u00e1\u0159ej\u00ed. Investice do kvalitn\u00edch pr\u00e1vn\u00edch slu\u017eeb tak p\u0159edstavuje cestu k dlouhodob\u00e9 stabilit\u011b a r\u016fstu spole\u010dnosti[14].<\/p>\n\n\n\n<p>&nbsp;&nbsp;[1] See e.g. R.C.
