P\u0159in\u00e1\u0161\u00edme praktick\u00e9 tipy a mezin\u00e1rodn\u00ed osv\u011bd\u010den\u00e9 postupy pro nastaven\u00ed pr\u00e1vn\u00edho odd\u011blen\u00ed, kter\u00e9 se stane ned\u00edlnou sou\u010d\u00e1st\u00ed firemn\u00ed strategie.<\/strong><\/p>\n\n\n\n<p><strong>Doba \u010dten\u00ed: <\/strong>6 minut<\/p>\n\n\n\n<p><strong>Prvn\u00ed kroky k vytvo\u0159en\u00ed pr\u00e1vn\u00edho t\u00fdmu<\/strong><\/p>\n\n\n\n<p>Intern\u00ed pr\u00e1vn\u00ed slu\u017eby jsou nepostradateln\u00fdm n\u00e1strojem pro zaji\u0161t\u011bn\u00ed dlouhodob\u00e9 stability a \u00fasp\u011bchu organizac\u00ed. Jak v\u0161ak p\u0159istoupit k vytvo\u0159en\u00ed intern\u00edho pr\u00e1vn\u00edho t\u00fdmu? Na tuto ot\u00e1zku neexistuje jedin\u00e1 odpov\u011b\u010f, proto\u017ee pr\u00e1vn\u00ed strategie nelze \u0159e\u0161it jednotn\u00fdm p\u0159\u00edstupem pro v\u0161echny situace[1]. P\u0159esto je mo\u017en\u00e9 nab\u00eddnout pokyny vych\u00e1zej\u00edc\u00ed z mezin\u00e1rodn\u00edch osv\u011bd\u010den\u00fdch postup\u016f a akademick\u00e9ho v\u00fdzkumu.<\/p>\n\n\n\n<p><strong>1. Kdy vytvo\u0159it pr\u00e1vn\u00ed t\u00fdm&nbsp;?<\/strong><\/p>\n\n\n\n<p>Prvn\u00edm krokem je ur\u010dit, kdy by m\u011bla spole\u010dnost za\u010d\u00edt vyu\u017e\u00edvat slu\u017eeb intern\u00edch pr\u00e1vn\u00edk\u016f[2]. V ide\u00e1ln\u00edm p\u0159\u00edpad\u011b by m\u011bl podnikatel na pr\u00e1vn\u00ed ot\u00e1zky myslet ji\u017e p\u0159i zah\u00e1jen\u00ed sv\u00e9 \u010dinnosti, aby se vyhnul nevratn\u00fdm chyb\u00e1m a svou spole\u010dnost postavil na pevn\u00fdch z\u00e1kladech. Pokud nen\u00ed pot\u0159eba pr\u00e1vn\u00edch slu\u017eeb prioritou na za\u010d\u00e1tku, m\u016f\u017ee b\u00fdt vhodn\u00e9 je p\u0159ehodnotit p\u0159i n\u00e1sleduj\u00edc\u00edch situac\u00edch&nbsp;:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Nar\u016fstaj\u00edc\u00ed slo\u017eitost pr\u00e1vn\u00edch ot\u00e1zek, <\/strong>nap\u0159. vy\u017eaduj\u00edc\u00ed odbornou expertizu,<\/li>\n\n\n\n<li><strong>Zvy\u0161uj\u00edc\u00ed se n\u00e1klady na extern\u00ed pr\u00e1vn\u00ed slu\u017eby,<\/strong><\/li>\n\n\n\n<li><strong>Zm\u011bna pr\u00e1vn\u00ed formy nebo r\u016fst spole\u010dnosti.<\/strong><\/li>\n<\/ul>\n\n\n\n<p>Stru\u010dn\u011b \u0159e\u010deno, ka\u017ed\u00e9 rozhodnut\u00ed by m\u011blo b\u00fdt podlo\u017eeno anal\u00fdzou aktu\u00e1ln\u00edch i budouc\u00edch pot\u0159eb spole\u010dnosti, pr\u00e1vn\u00edch d\u016fsledk\u016f jej\u00ed \u010dinnosti a perspektivy r\u016fstu[3].<\/p>\n\n\n\n<p><strong>2. Kdo by m\u011bl b\u00fdt \u010dlenem pr\u00e1vn\u00edho t\u00fdmu&nbsp;?<\/strong><\/p>\n\n\n\n<p>Rozhodnut\u00ed o tom, kdo by m\u011bl zast\u00e1vat roli intern\u00edho pr\u00e1vn\u00edka, se m\u016f\u017ee li\u0161it podle specifik&nbsp; dan\u00e9 spole\u010dnosti. Ide\u00e1ln\u00ed kandid\u00e1t by m\u011bl m\u00edt v ka\u017ed\u00e9m p\u0159\u00edpad\u011b d\u016fkladn\u00e9 pr\u00e1vn\u00ed znalosti, zejm\u00e9na v oblasti obchodn\u00edho pr\u00e1va a p\u0159edpis\u016f, kter\u00e9 se vztahuj\u00ed na \u010dinnost spole\u010dnosti a sou\u010dasn\u011b pot\u0159ebuje \u0159adu dal\u0161\u00edch nepr\u00e1vn\u00edch dovednost\u00ed k pln\u011bn\u00ed sv\u00fdch \u00fakol\u016f, kter\u00e9 z n\u011bj \u010din\u00ed jak\u00fdsi pomysln\u00fd \u201e\u0161v\u00fdcarsk\u00fd n\u016f\u017e\u201c organizace[5]. Intern\u00ed pr\u00e1vn\u00edk mus\u00ed zvl\u00e1dat nejen pr\u00e1vn\u00ed agendu, ale i \u0161ir\u0161\u00ed strategick\u00e9 \u00fakoly, \u010d\u00edm\u017e se st\u00e1v\u00e1 jedn\u00edm z pil\u00ed\u0159\u016f efektivn\u00edho fungov\u00e1n\u00ed organizace.<\/p>\n\n\n\n<p>Mezi tyto dovednosti pat\u0159\u00ed<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>mana\u017eersk\u00e9 a v\u016fd\u010d\u00ed schopnosti<\/strong>, kter\u00e9 umo\u017e\u0148uj\u00ed pr\u00e1vn\u00edkovi p\u016fsobit jako obchodn\u00ed strat\u00e9g,\u00a0<\/li>\n\n\n\n<li><strong>analytick\u00e9 my\u0161len\u00ed a \u00fasudek, <\/strong>kter\u00fd je nezbytn\u00fd pro efektivn\u00ed \u0159e\u0161en\u00ed probl\u00e9m\u016f,<\/li>\n\n\n\n<li>\u00a0<strong>komunika\u010dn\u00ed dovednosti<\/strong>, kter\u00e9 jsou kl\u00ed\u010dov\u00e9 pro spolupr\u00e1ci t\u00fdmy nap\u0159\u00ed\u010d organizac\u00ed a s obchodn\u00edmi partnery[6].<\/li>\n<\/ul>\n\n\n\n<p><strong>2. Jak\u00e1 je ide\u00e1ln\u00ed struktura pr\u00e1vn\u00edho t\u00fdmu&nbsp;?<\/strong><\/p>\n\n\n\n<p>Struktura pr\u00e1vn\u00edho t\u00fdmu se v\u017edy odv\u00edj\u00ed od pot\u0159eb a velikosti spole\u010dnosti. Po\u010det pr\u00e1vn\u00edk\u016f m\u016f\u017ee nap\u0159\u00edklad odpov\u00eddat ro\u010dn\u00edmu p\u0159\u00edjmu spole\u010dnosti, jak ukazuj\u00ed n\u011bkter\u00e9 empirick\u00e9 studie[7]. R\u016fzn\u00e9 role intern\u00edho pr\u00e1vn\u00edka se d\u00e1le mohou odv\u00edjet podle rozsahu jeho p\u0159esn\u00e9ho pov\u011b\u0159en\u00ed:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Obecn\u00fd pr\u00e1vn\u00ed poradce<\/strong> nebo <strong>compliance manager<\/strong>\u00a0 se zam\u011b\u0159uj\u00ed p\u0159edev\u0161\u00edm na zaji\u0161t\u011bn\u00ed souladu s platn\u00fdmi pr\u00e1vn\u00edmi p\u0159edpisy,\u00a0<\/li>\n\n\n\n<li><strong>Hlavn\u00ed pr\u00e1vn\u00ed z\u00e1stupce<\/strong> \u010dasto nese \u0161ir\u0161\u00ed odpov\u011bdnost a p\u0159ep\u00edr\u00e1 strategick\u00e9 \u00fakoly[8],<\/li>\n\n\n\n<li>Modern\u00ed firmy za\u010d\u00ednaj\u00ed vyu\u017e\u00edvat i pozici \u201e<strong>Legal Ops<\/strong>\u201c, kter\u00e1 se soust\u0159ed\u00ed na efektivn\u00ed \u0159\u00edzen\u00ed pr\u00e1vn\u00edch t\u00fdm\u016f, digitalizaci a komunikaci[9].\u00a0<\/li>\n<\/ul>\n\n\n\n<p>V ka\u017ed\u00e9m p\u0159\u00edpad\u011b je v\u017edy d\u016fle\u017eit\u00e9 zamyslet se, jak za\u010dlenit pr\u00e1vn\u00ed odd\u011blen\u00ed do st\u00e1vaj\u00edc\u00edch <strong>rozhodovac\u00edch proces\u016f<\/strong> spole\u010dnosti. Modern\u00ed spole\u010dnosti ji\u017e b\u011b\u017en\u011b zaji\u0161\u0165uj\u00ed m\u00edsto pro hlavn\u00edho pr\u00e1vn\u00edho z\u00e1stupce v \u0159\u00edd\u00edc\u00edch slo\u017ek\u00e1ch spole\u010dnosti, co\u017e posiluje pov\u011bdom\u00ed o pr\u00e1vn\u00edch strategi\u00edch a jejich propojen\u00ed s dal\u0161\u00edmi c\u00edly[10]. Z\u00e1rove\u0148 je t\u0159eba intern\u00edmu pr\u00e1vn\u00edkovi zajistit odpov\u00eddaj\u00edc\u00ed zdroje, nez\u00e1vislost a autoritu, kter\u00e9 mu umo\u017en\u00ed efektivn\u011b plnit jeho \u00fakoly[11].<\/p>\n\n\n\n<p><strong>Extern\u00ed pr\u00e1vn\u00ed slu\u017eby jako alternativa<\/strong><\/p>\n\n\n\n<p>A\u010dkoliv jsme se v tomto p\u0159\u00edsp\u011bvku zam\u011b\u0159ili na&nbsp; pln\u011b integrovan\u00e9 pr\u00e1vn\u00edho odd\u011blen\u00ed, nem\u011bli bychom opom\u00edjet mo\u017enost vyu\u017eit\u00ed extern\u00edch pr\u00e1vn\u00edch poradc\u016f.
