Mana\u017ee\u0159i podnik\u016f &#8222;<em>plavou v mo\u0159i z\u00e1kon\u016f<\/em>&#8222;, pravidla se st\u00e1vaj\u00ed st\u00e1le slo\u017eit\u011bj\u0161\u00edmi a jejich poru\u0161en\u00ed je trest\u00e1no st\u00e1le p\u0159\u00edsn\u011bj\u0161\u00edmi sankcemi[1].<\/p>\n\n\n\n<p>Tento trend m\u00e1 n\u011bkolik p\u0159\u00ed\u010din: finan\u010dn\u00ed krize z roku 2008 upozornila na zranitelnost bankovn\u00edho sektoru, co\u017e vedlo k \u0159ad\u011b rozs\u00e1hl\u00fdch pr\u00e1vn\u00edch kontrol[2], sou\u010dasn\u011b environment\u00e1ln\u00ed, soci\u00e1ln\u00ed a digit\u00e1ln\u00ed obavy v posledn\u00edch letech podn\u00edtily pomal\u00e9 o\u017eiven\u00ed st\u00e1tem \u0159\u00edzen\u00e9 ekonomiky v protikladu k pln\u011b regulovan\u00e9mu voln\u00e9mu obchodu[3]. Pandemie Covid-19, energetick\u00e1 krize a v\u00e1lka na Ukrajin\u011b d\u00e1le prom\u011bnily tr\u017en\u00ed prost\u0159ed\u00ed a vytvo\u0159ily pr\u00e1vn\u00ed v\u00fdzvy, kter\u00fdm firmy nikdy p\u0159edt\u00edm ne\u010delily[4].<\/p>\n\n\n\n<p>V sou\u010dasn\u00e9 dob\u011b samoz\u0159ejm\u011b panuje shoda na tom, \u017ee <strong>pro spole\u010dnosti je lep\u0161\u00ed dodr\u017eovat pr\u00e1vn\u00ed p\u0159edpisy, ne\u017e je poru\u0161ovat<\/strong>. P\u0159esto\u017ee existuj\u00ed ostr\u00e9 strategie, kter\u00e9 vyva\u017euj\u00ed n\u00e1klady na nedodr\u017eov\u00e1n\u00ed p\u0159edpis\u016f a jejich p\u0159\u00ednosy[5], p\u0159eva\u017euj\u00ed rozumn\u00e9 argumenty, kter\u00e9 podporuj\u00ed &#8222;<em>skromn\u00fd idealistick\u00fd p\u0159\u00edstup<\/em>&#8222;. <strong>Mezin\u00e1rodn\u00ed osv\u011bd\u010den\u00e9 postupy posledn\u00edch let pova\u017euj\u00ed dodr\u017eov\u00e1n\u00ed pr\u00e1vn\u00edch p\u0159edpis\u016f za kl\u00ed\u010dov\u00fd prvek spr\u00e1vy a \u0159\u00edzen\u00ed spole\u010dnost\u00ed<\/strong>[6].&nbsp;<\/p>\n\n\n\n<p>Naopak, ignorov\u00e1n\u00ed pr\u00e1vn\u00edch povinnost\u00ed m\u016f\u017ee v\u00e9st ke katastrof\u00e1ln\u00edm d\u016fsledk\u016fm, trestn\u011bpr\u00e1vn\u00edch \u010di finan\u010dn\u00edch, nebo\u0165 nap\u0159. pokuty za poru\u0161en\u00ed pr\u00e1va hospod\u00e1\u0159sk\u00e9 sout\u011b\u017ee mohou dos\u00e1hnout a\u017e 10 % ro\u010dn\u00edho celosv\u011btov\u00e9ho obratu spole\u010dnosti. Takov\u00e9 sankce mohou b\u00fdt extr\u00e9mn\u011b vysok\u00e9, jak ukazuje nap\u0159\u00edklad pokuta 500 milion\u016f eur ulo\u017een\u00e1 francouzsk\u00fdm telefonn\u00edm spole\u010dnostem v roce 2005[7]. Strategie vyh\u00fdb\u00e1n\u00ed se, kter\u00e1 vn\u00edm\u00e1 pr\u00e1vo jako p\u0159ek\u00e1\u017eku podnikatelsk\u00fdch c\u00edl\u016f a ignoruje jeho dopady, vystavuje spole\u010dnost v\u00e1\u017en\u00fdm rizik\u016fm[8].<\/p>\n\n\n\n<p>Ka\u017ed\u00fd podnik, kter\u00fd se zab\u00fdv\u00e1 velk\u00fdm po\u010dtem vztah\u016f B2C, tak\u00e9 v\u00ed, \u017ee i drobn\u00e9 chyby p\u0159i navrhov\u00e1n\u00ed smluv mohou m\u00edt propastn\u00e9 n\u00e1sledky, proto\u017ee mohou vyvolat rozs\u00e1hl\u00e9 st\u00ed\u017enosti[9].<\/p>\n\n\n\n<p><strong>Pr\u00e1vn\u00ed rizika neohro\u017euj\u00ed pouze finan\u010dn\u00ed, ale tak\u00e9 strategickou a institucion\u00e1ln\u00ed hodnotu<\/strong>[10]. Reputa\u010dn\u00ed \u0161kody se toti\u017e napravuj\u00ed jen obt\u00ed\u017en\u011b. <strong>Mor\u00e1ln\u00ed kapit\u00e1l, kter\u00fd je rozhoduj\u00edc\u00ed pro dlouhodob\u00fd \u00fasp\u011bch, lze snadno ztratit, ale jen velmi obt\u00ed\u017en\u011b z\u00edskat zp\u011bt<\/strong>[11]. P\u0159\u00edkladem je spole\u010dnost Ikea, kter\u00e1 \u010delila podez\u0159en\u00ed z vyu\u017e\u00edv\u00e1n\u00ed d\u011btsk\u00e9 pr\u00e1ce a musela vynalo\u017eit obrovsk\u00e9 \u00fasil\u00ed, aby si znovu z\u00edskala d\u016fv\u011bru organizac\u00ed, jako je Unicef[12]. Krom\u011b ve\u0159ejn\u00e9ho m\u00edn\u011bn\u00ed je zde i tlak od zam\u011bstnanc\u016f a zainteresovan\u00fdch stran, kte\u0159\u00ed st\u00e1le v\u00edce o\u010dek\u00e1vaj\u00ed opat\u0159en\u00ed k \u0159e\u0161en\u00ed glob\u00e1ln\u00edch v\u00fdzev, jako je klimatick\u00e1 krize[13]&#8220;.&nbsp;<\/p>\n\n\n\n<p><strong>Celkov\u011b nen\u00ed t\u011b\u017ek\u00e9 pochopit, pro\u010d je regulace pova\u017eov\u00e1na za jednu z nejz\u00e1sadn\u011bj\u0161\u00edch hrozeb pro trvanlivost podnik\u00e1n\u00ed[14]. Regulace a jej\u00ed dopady sice tvo\u0159\u00ed ned\u00edlnou sou\u010d\u00e1st podnik\u00e1n\u00ed, ale nejsou nep\u0159ekonatelnou p\u0159ek\u00e1\u017ekou. Navzdory slo\u017eitosti a n\u00e1rok\u016fm modern\u00edho podnikatelsk\u00e9ho prost\u0159ed\u00ed se mnoha firm\u00e1m da\u0159\u00ed nejen p\u0159izp\u016fsobit, ale i prosperovat v neust\u00e1le se m\u011bn\u00edc\u00edch podm\u00ednk\u00e1ch. Spole\u010dnosti, kter\u00e9 dok\u00e1\u017e\u00ed propojit odpov\u011bdn\u00fd p\u0159\u00edstup, flexibilitu a strategick\u00e9 \u0159\u00edzen\u00ed rizik, maj\u00ed nejlep\u0161\u00ed p\u0159edpoklady k dlouhodob\u00e9mu \u00fasp\u011bchu a udr\u017eitelnosti.<\/strong><\/p>\n\n\n\n<p>________________________________________<\/p>\n\n\n\n<p>[1] Viz R.C.
